Executive Profile
Gene is a Partner on the South Texas team of SeatonHill. With nearly 30 years of serving as a Chief Financial Officer and a Chief Operating Officer, he has become a go-to resource for non-routine and transitional matters. Gene has developed a niche helping companies in transition, including turnarounds, restructurings, M&A transactions, IPO preparation and execution, executing strategic operating initiatives, and companies outgrowing their infrastructure. He has raised capital from venture capital and private equity firms and has a strong background in technology services, manufacturing, consumer products, retailing, restaurants, distribution, agriculture, and wholesaling and distribution. Gene has led over 40 acquisitions and integrations during his career. Gene serves on the Artificial Intelligence Advisory Board for SeatonHill.
Key Experience
RYVYL, Inc. (NASDAQ-RVYL): Gene served as the Interim Chief Financial Officer and Restatement Project Manager for this blockchain business-to-business, consumer-to-business, and peer-to-peer payment transaction processor. He completed the restatement of prior year financial statements and took over as Interim CFO; building the Finance team, strengthening weak internal accounting controls, and completing public filings (Form 10-K – 2022, Form 10-Q for 1-Q, 2-Q, and 3-Q; several Form 8-K’s). Gene also completed the search for a permanent CFO and remained on board to assist in the transition as a fractional resource.
Environmental Operational Solutions, LLC: Gene serves as Fractional Chief Operating Officer and Chief Financial Officer for this professional services firm that provides air quality environmental consulting to help clients navigate complex environmental programs and regulations. He is professionalizing a closely held entrepreneurial enterprise.
Centre Technologies, Inc.: Gene served as Advisor to the Board of Directors and as Secretary, Treasurer, and Chief Financial Officer for this private equity-sponsored, full-service IT consulting, cloud, and managed services provider with a focus on mid-sized businesses. He was a former client of Centre Technologies and a continuing business advisor to the founder until he was recruited to join the team in 2020. Gene Sourced and completed two acquisitions of technology services companies. He Implemented a rolling forecast regimen to provide a forward-looking view of the business and executed a complete revision of the financial reporting package. Gene also achieved forgiveness of a Payroll Protection Program (“PPP”) loan, $2.0 million, and remediated inherited term loan covenant violations. He implemented employee and candidate behavioral assessments to reduce hiring mistakes and developed and implemented an executive bonus plan.
Startup, Turnaround, and Restructuring Experience
Wellman Dynamics: For this aerospace manufacturing turnaround and sale, Gene enhanced financial reporting, analyzed and strengthened pricing, and managed through the highly challenging liquid crisis.
Vaughan Foods, Inc.: For this consumer-packaged goods manufacturer, (wholesale, distribution, and transportation) of refrigerated prepared salads, fresh cut produce, and refrigerated prepared soups, Gene took the company public, led a secondary public offering, and negotiated the sale of the public company for 4.0x the pre-announcement trading price. This was completed over a 5-year period.
ATC Drivetrain, LLC: For this private equity-owned remanufacturer of automotive transmissions and engines, Gene negotiated a highly successful turnaround and sale of the company, increasing enterprise value by over 10x. This was completed over a 3-year period.
All Covered, Inc.: For this Silicon Valley technology services startup, Gene raised capital and grew the company to pre-IPO readiness, resulting in an ultimate sale to a strategic buyer.
Encore Discovery Solutions, Inc.: As Co-founder and CFO for this litigation support services startup, Gene raised $70 million in startup capital, acquired, and merged 13 companies, and ultimately sold to a strategic buyer.
First Florida Banks, Inc.: Gene led the turnaround and sale of this publicly held bank holding company.
