Gerry Pascale

SC Financial Group: As President and Founder, Gerry specialized in managing the private to public transition for clients to ensure meeting all reporting and SEC requirements. He focused on implementing a set of fully integrated financial processes to manage the reporting process as well as guide investor interactions for publicly traded clients. Gerry developed detailed financial statement analysis and financial models for clients, which were used as a basis for company budgets, projections, and valuations. He advised clients in multiple industries on developing and training staff to manage all accounting, reporting, treasury, internal control, and audit functions to support rapid growth and meet all SEC filing requirements in a timely manner. Gerry also assisted in raising more than $500M for US and international clients. 

As Consulting CFO, Gerry assisted Nasdaq-listed company with all financial reporting and SEC public company requirements. He managed the compilation of financial statements and MD&A. Gerry also worked closely with auditors and legal teams to accomplish all public filings. He assisted in valuation, projections, and budgeting for multiple acquisitions. 

In the Real Estate Practice, the investment group acquired 454 acres of residential and commercial property in Beaufort County, SC. He compiled all financial data and projections to secure the financing required for the acquisition. Gerry was responsible for pro formas and financial models to demonstrate the timing and profitability of the project. He developed detailed budgets, tracking, and analysis to meet investor requirements and ongoing communication. 

Fintech Acquisition Corporation: As Chief Financial Officer, Gerry managed all accounting and finance functions across the fintech company. He was responsible for working with accountants and auditors to ensure the timely and accurate filing of quarterly and yearly financial statements with the SEC. Gerry assisted the executive team in raising $254M for the acquisition. He worked closely with the executive team, legal, auditors, and accountants to complete all tasks and SEC filings related to identifying target acquisition, performing all necessary due diligence, and completing the shareholder vote to successfully acquire. He completed the acquisition with an enterprise value in excess of $900M in 2020 and retained 97% of original shareholders in the final acquisition. 

Telecommunications Company: As Interim Chief Financial Officer, Gerry was responsible for developing and implementing a corporate-wide FP&A plan, which included hiring and training an accounting staff to bring all company accounting and treasury functions in-house. He implemented controls to ensure accounting was recorded timely and accurately to assist in fundraising and a potential public company listing. Gerry managed lender and Deloitte and Touche audits and reviews to remain in compliance. He was also responsible for all Board reporting with the PE investor firm. 

Mining Technologies Company: As Chief Financial Officer, Gerry was responsible for all financial-related activities of this US publicly traded company, including:

• Developed a detailed financial model to meet buy-side investor requirements and demonstrate company valuation 

• Oversaw the preparation and filing of financial statements with the stock exchange

• Developed robust internal controls to ensure the company’s financial condition was accurately reported from a subsidiary in Santiago, Chile, through US public company

• Ensured the company remained in compliance with all SEC and Sarbanes Oxley requirements

• Implemented an integrated set of financial processes required of a newly public company to meet all financial reporting responsibilities

• Developed financial sections of earnings releases and calls based on comprehensive results and analysis of the financial position of the Company
