Executive Profile

Andrew Pendleton is a partner in the Houston office of SeatonHill. During his career of over 30 years, Andrew has held financial executive positions at various businesses, both in fulltime and interim or fractional capacities. Over the last decade Andrew’s primary involvement has been with lower to middle market companies. His areas of expertise include high-growth and underperforming or distressed entities, companies experiencing a critical gap in financial or leadership capabilities, and organizations dealing with mergers & acquisitions or financing needs.

Key Experience

Healthcare/Emergency Care: Andrew led financial operations through the post-merger turnaround & restructuring of this private equity-backed company as it scaled back its focus on free-standing emergency and urgent care centers and developed a second business line providing revenue cycle and management services for healthcare providers. Andrew oversaw the following efforts in addition to managing recurring reporting and forecasting requirements.

  • restating the opening balance sheet and first nine months of financial results;

  • 13-week cash flow forecast updates and working capital management;

  • overhauling accounting processes and training staff;

  • redesigning monthly close procedures, including creating bank and balance sheet account reconciliations;

  • developing monthly performance reporting by company and location;

  • designing forecasting models, including insurance collections by location and payor;

  • managing reporting and compliance requirements associated with multiple ownership restructurings and litigation matters;

  • coordinating efforts to align NetSuite functionality with the company’s reporting structure.

Nationally-ranked Accounting, Tax, and Advisory Firm: Andrew co-led Business Advisory Services and served as interim CFO for several distressed oil field services firms. He helped liquidate mining assets outside bankruptcy, strengthen accounting practices, coordinate working capital management, and obtain replacement financing. Andrew also provided financial modeling, as well as post-transaction services that included mentoring client financial management, establishing opening balance sheets, and developing covenant compliance reporting.


Big 6 Global Accounting, Tax, and Advisory Firm: As Manager, Corporate Advisory & Restructuring Services, Andrew provided restructuring advisory services to a variety of debtors and creditors. He developed a solvency analysis in preparation for fraudulent conveyance litigation, evaluated strategic options for the board of an underperforming bank, and performed M&A due diligence engagements.


Interim Leadership & Consulting Services Firm: Andrew served in finance executive roles for various clients. As interim VP Finance for a $1 billion division of a $12 billion dairy products manufacturer, he oversaw financial operations and coordinated developing the annual budget. For an aerospace company, Andrew created a financial model with a multiple-scenario capability to raise $500 million. For a US-based technology company, Andrew enhanced the financial operations at its European headquarters in London and oversaw preparation and coordination efforts for multiple European audits.
